# AUCTION NEMESIS – BIDDER TERMS & CONDITIONS AGREEMENT
Please read this agreement carefully before placing a bid. By checking the agreement box and placing a bid on any lot, you enter into a legally binding contract with Auction Nemesis and agree to be bound by the following terms:
### 1. ALL SALES ARE FINAL & LOTS SOLD "AS-IS"
All items are sold "AS-IS, WHERE-IS" with all faults, blemishes, and eras of wear. Auction Nemesis makes no warranties, expressions, or guarantees regarding the working operational capacity, authenticity, or condition of any item. Written descriptions and photographs are intended solely as visual guides—not guarantees.
### 2. LEGALLY BINDING BID CONTRACT
When you place a bid, you are making a legal commitment to purchase that asset at that specified price. You cannot retract, edit, or cancel a bid once it has been submitted to the platform server. The highest bidder acknowledged by the auction countdown clock at expiration shall be the buyer.
### 3. AUTOMATIC PAYMENT CAPTURE & IMMEDIATE CHARGING
Upon the official closing of an auction event, the Webkul billing system will instantly and automatically charge the winning high bidder’s vaulted credit card on file for the full balance (including hammer price, buyer's premium, and applicable sales tax). There is no waiting period. By placing a bid, you explicitly authorize Auction Nemesis to automatically debit your card immediately upon winning.
### 4. LOCAL PHYSICAL PICKUP & SHIPPING EXCEPTIONS
All items are strictly available for local on-site physical pickup only, unless the buyer has explicitly selected the "Shipping Invoiced Separately" option at checkout. Auction Nemesis does not provide standard shipping, boxing, or freight delivery services by default. For approved shipping orders, items will be held securely at our facility and will not depart until the secondary shipping invoice is paid in full.
### 5. FORFEITURE OF UNCLAIMED GOODS
Any items not physically picked up within the designated facility pickup window—even though fully paid for online at auction close—will be considered abandoned by the buyer. Abandoned lots will be forfeited back to Auction Nemesis without refund, and may be resold or disposed of at the management's complete discretion to clear floor space.
### 6. SALES TAX & TRANSACTION FEES
Buyers agree to pay all applicable localized state and county sales taxes, which will be calculated and assessed automatically on top of the final winning hammer price during the automatic payment capture sequence.
### 7. LIABILITY FOR REMOVAL
Buyers assume full physical liability, risk, and responsibility for the dismantling, lifting, loading, and securing of their purchases during pickup. Please bring your own packing materials, moving dollies, and loading assistance for heavy assets.
### 8. BUYER'S PREMIUM
A ten percent (10%) Buyer's Premium will be automatically added to the final hammer price of every single lot at the conclusion of bidding. This premium will be automatically calculated and included in the total automatic debit amount captured at auction close.
### 9. DEFAULTING BIDDERS, RESTOCKING FEES, & LATE PICKUPS
A bidder will be officially declared a Defaulting Bidder if their vaulted payment card is declined upon auction closure, or if they fail to physically remove their paid items within the mandatory forty-eight (48) hour pickup window.
* **LATE PICKUP ARRANGEMENTS:** If you are unable to pick up your items during the 48-hour window, please make other arrangements by contacting Auction Nemesis support BEFORE the pickup deadline closes to request a scheduled alternative option. Late pickups are subject to management approval and may incur a $5.00 per day warehouse storage fee.
* **FORFEITURE & PENALTIES:** Failing to remove items within the deadline without an approved late pickup arrangement will result in the immediate forfeiture of the lot back to Auction Nemesis without refund, as outlined in Section 5. The Defaulting Bidder's account will be permanently banned from participating in all future online auction events. A fifteen percent (15%) Restocking & Administration Fee will be assessed against the user profile before any future account reinstatement can be considered.
### 10. SYSTEM MALFUNCTIONS & EXTENSIONS
Auction Nemesis reserves the right to pause, extend, reschedule, or cancel any auction event or specific lot due to technical malfunctions, server downtime, internet lag, or app glitches. Bids are only official once registered on our database servers, and Auction Nemesis is not liable for missed bids due to user connectivity issues.
### 11. BID MANIPULATION & ACCOUNT SECURITY
Shill bidding (bidding on your own items or having associates bid to artificially raise the price) is strictly illegal and prohibited. Users are entirely responsible for securing their account passwords. Any suspicious bidding patterns or account sharing will result in immediate termination of bidding privileges and a permanent platform ban.
### 12. TITLED ASSETS & SPECIAL CONDITIONS
For any lots requiring a title transfer (vehicles, trailers, etc.), the buyer agrees to pay all localized notary, documentation, and transfer fees. Titles will only be signed over to the exact name registered on the winning Auction Nemesis account profile once funds are completely cleared.
